Defensible Direct-Selling Operations in India
Strategy India conducts independent legal-compliance and business-process audits for direct-selling enterprises, boards, investors and international businesses operating in or entering India.
Our work goes beyond a review of policies and contracts. We assess whether the organisation’s products, pricing, compensation mechanics, communications, technology, customer processes and field conduct are aligned and whether that alignment can be demonstrated through reliable evidence.
The objective is not cosmetic compliance. It is practical defensibility.
It is practical defensibility.
The Board-Level Question
A business may appear compliant on paper while remaining exposed in practice.
Risk emerges when the company’s stated model differs from its commercial reality: when product value is overshadowed by income messaging; when participant purchases appear connected to rank or reward eligibility; when field-level product or earnings claims are not controlled; or when refunds, buy-backs and grievance processes cannot be evidenced with reliable records.
The Consumer Protection (Direct Selling) Rules, 2021 establish requirements relating to consumer grievance redressal, grievance and nodal officers, a cooling-off period of not less than 30 days and buy-back or repurchase arrangements for currently marketable goods or services on reasonable commercial terms. They also require consumer complaints to be acknowledged within 48 working hours and ordinarily redressed within one month.
The critical board question is not: “Do we have a policy?” It is: “Can we demonstrate that our business model, consumer safeguards, communications and field controls operate as intended?”
What We Audit
| Workstream | Audit focus |
|---|---|
| Legal and communications | Website content, opportunity materials, agreements, onboarding, training, product claims, earnings claims and selected field communications |
| Product, pricing and consumer value | Product proposition, price architecture, repeat-purchase logic, customer disclosures and potential disconnects between product value and the earning opportunity |
| Compensation architecture | Reward triggers, rank conditions, purchase requirements, payout capacity, carry-forward liabilities, reversals, incentives and plan communications |
| Consumer protection | Cooling-off, cancellations, refunds, returns, buy-back or repurchase processes, disclosures, grievance handling and customer accessibility |
| Field governance | Codes of conduct, approved claims, training, monitoring, investigation, disciplinary process and evidence retention |
| Business processes | Onboarding, ordering, payment flows, participant purchasing, commission adjustments, escalation processes and operational ownership |
| Technology and evidence | Customer-versus-participant sales visibility, qualification-purchase flags, payout logic, return reversals, audit trails, reporting and exception handling |
| Enforcement-risk mapping | How the model may be interpreted through complaints, field conduct, payment mechanics, documentary gaps and available evidence |
The Strategy India Difference
Strategy India combines three disciplines that are too often treated separately:
Commercial and regulatory analysis
Of direct-selling models, product economics, pricing, compensation structures, consumer protection and field conduct.
Forensic pattern recognition
Informed by long-term analysis of thousands of high-risk MLM, referral and participant-led models, including recurring indicators of recruitment dependence, misleading claims, unsustainable payout logic and opaque payment flows.
Operational implementation
That translates findings into practical policy, technology, workflow, training, accountability and evidence requirements.
The result is not a generic compliance report.
It is a prioritised, implementation-ready assessment of the organisation’s practical defensibility and board-level resilience.
Our Five-Stage Method
Confidential Scoping
We define the business model, product categories, compensation structure, market footprint, audit objectives, stakeholders, documents, systems and agreed samples of field activity.
Evidence-Led Review
We review relevant agreements, policies, compensation materials, communications, customer processes, technology workflows, reports and field-facing content within the agreed scope.
Risk Assessment
We identify gaps between stated policy, commercial incentives, operating practice and available evidence. Findings are prioritised by severity, likely impact, ownership and remediation urgency.
Stakeholder Challenge
We test findings with legal, compliance, finance, commercial, operations, technology and field leaders. This ensures recommendations are legally aware, commercially workable and operationally implementable.
Remediation Roadmap
We deliver a board-ready report, risk matrix, corrective-action plan, ownership map, implementation timetable and targeted recommendations for policies, communication, field governance, technology and operational controls.

The Outcome
No audit can eliminate every risk or predetermine the view of a regulator, enforcement authority or court.
A rigorous Strategy India audit gives leadership a clearer, evidence-led view of where the model is strong, where it is vulnerable and what must be improved. It helps management create reliable records of informed oversight, good-faith diligence and practical remedial action.
Where agreed, Strategy India can also support implementation through management workshops, periodic advisory reviews and follow-up testing of revised controls.
The objective is to ensure that product value, customer demand, compensation mechanics, consumer protection, technology and field conduct are not merely documented—but aligned, monitored and demonstrable.
Specialist Support for Audit Firms and Investors
Strategy India also works confidentially with external audit firms, venture-capital and private-equity investors, investment bankers, legal teams and other professional advisers assessing direct-selling, MLM and participant-led distribution businesses.
Financial, legal and investment professionals may have deep expertise in their own disciplines while lacking specialist visibility into direct-selling compensation mechanics, distributor incentives, customer-volume quality, field claims, recruitment risk and payout sustainability.
Strategy India provides the sector-specific analysis required to bridge that gap—supporting due diligence, risk assessment, remediation planning, transaction evaluation and post-investment governance.
